These Terms of Use (the "Terms") govern your access to and use of the website at scale-zone.com (the "Site") operated by SCALE ZONE LTD ("SCALE ZONE LTD", "we", "us", or "our"), and any related services, communications, and future products operated by SCALE ZONE LTD or our Affiliates (as defined below) (collectively, the "Services"). Please read these Terms carefully before using the Services.

1. Acceptance of Terms

By accessing or using the Services you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction to use the Services. You represent and warrant that you are not barred from using the Services under any applicable law, and that you are not located in, or a resident or national of, any country or on any list that would prohibit us from providing the Services to you under applicable export-control or sanctions laws.

3. Definitions

  • "Services" — the Site, any content on it, and any related products, services, or properties operated by SCALE ZONE LTD or our Affiliates.
  • "Content" — all text, graphics, code, designs, trademarks, logos, and other material made available through the Services.
  • "You" — the individual accessing or using the Services or, if you are accessing on behalf of an entity, that entity.
  • "SCALE ZONE LTD" — the legal entity identified in Section 23 and in our Privacy Policy.
  • "Affiliate" — any entity that directly or indirectly controls, is controlled by, or is under common control with SCALE ZONE LTD, where "control" means the power to direct the management of the entity, whether by ownership of voting equity, by contract, or otherwise.

4. License to Use the Site

Subject to your continued compliance with these Terms, SCALE ZONE LTD grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site for your personal, non-commercial use. No other rights are granted, expressly or by implication. All rights not expressly granted are reserved by SCALE ZONE LTD and its licensors.

5. Acceptable Use

You agree that you will not, and will not permit others to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services;
  • Use automated means (including scrapers, bots, or crawlers) to access, harvest, or copy Content, except for well-behaved indexing crawlers acting in compliance with our robots.txt;
  • Engage in any form of denial-of-service activity, or otherwise interfere with or disrupt the Services or the servers and networks that host the Services;
  • Circumvent, disable, or tamper with any security, authentication, or rate-limiting mechanism;
  • Use the Services to transmit malware, viruses, or other harmful code;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Infringe any intellectual-property, publicity, privacy, or other right of any third party;
  • Use the Services to violate any applicable law or regulation, or for any unlawful, misleading, discriminatory, or fraudulent purpose.

6. Intellectual Property

The Services and all Content (including text, code, graphics, trademarks, logos, audio, video, design, and compilations) are owned by SCALE ZONE LTD or our licensors and are protected by copyright, trademark, and other intellectual- property laws. Except for the limited license in Section 4, these Terms do not grant you any right, title, or interest in or to the Services or the Content.

If you believe that any Content on the Site infringes your copyright, trademark, or other intellectual-property right, please notify us at support@scale-zone.com with a description of the material and your claim. We will review and respond in accordance with applicable law.

7. User-Submitted Content & Feedback

When you submit information through the contact form or other communication channels ("User Content"), you represent and warrant that the User Content does not infringe any third-party right and does not violate any applicable law. You grant SCALE ZONE LTD and our Affiliates a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, copy, store, transmit, and process the User Content for the purpose of providing the Services, responding to your inquiry, and complying with legal obligations.

Feedback. If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you agree that SCALE ZONE LTD and our Affiliates may use the Feedback without restriction, attribution, or compensation to you.

8. No Professional Advice

The Content on the Site is provided for general informational purposes only and does not constitute legal, tax, accounting, engineering, investment, or other professional advice. Your use of the Site does not create a consultant-client, attorney-client, or fiduciary relationship between you and SCALE ZONE LTD. You should consult qualified professionals before acting on any information on the Site.

9. Generative AI Features

The Services may include features that use generative artificial intelligence ("Generative AI Features" or "GenAI Features"), which may be powered by third-party AI models (for example, models provided by OpenAI, Anthropic, Google, or similar vendors). By using any Generative AI Feature you acknowledge and agree that:

  • (a) Output may be inaccurate. Generative AI Features may produce output that is false, outdated, misleading, biased, or otherwise unsuitable for your purposes. You must independently verify any output before relying on it for any purpose. SCALE ZONE LTD does not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of Generative AI output.
  • (b) No professional advice. Generative AI Features do not provide legal, tax, accounting, engineering, medical, investment, or other professional advice. Section 8 (No Professional Advice) applies fully to Generative AI output.
  • (c) Prohibited inputs. You agree not to submit to any Generative AI Feature: (i) confidential or proprietary information of any person or entity; (ii) personal information of any individual other than yourself (except with their authorization where required); (iii) protected health information, financial-account or payment-card data, government-issued identifiers, biometric data, or other "Sensitive Personal Information" as defined under applicable privacy law; (iv) data subject to export-control, classified, or regulated treatment; (v) login credentials or authentication secrets; (vi) material that infringes any third-party right or violates any applicable law; or (vii) content intended to attack, jailbreak, or circumvent the safety controls of the Generative AI Feature or the underlying model.
  • (d) License to AI Inputs. By submitting inputs to a Generative AI Feature you grant SCALE ZONE LTD and our Affiliates a non-exclusive, worldwide, royalty-free license to use your inputs and the resulting outputs to operate the Generative AI Feature, secure the Services, prevent abuse, comply with applicable law, and — in a de-identified or aggregated form that does not identify you — to improve and develop our Services.
  • (e) No training on identifiable inputs. Where we engage third-party AI providers for Generative AI Features, we will seek to contract with providers that do not train their publicly available models on identifiable inputs submitted through the Services. SCALE ZONE LTD does not warrant any specific vendor practice or contractual term, and you should review vendor terms linked from the relevant Generative AI Feature.
  • (f) Logging and monitoring. We may log, store, and review AI inputs and outputs for security, abuse prevention, quality assurance, and legal compliance.
  • (g) Rate limits and availability. Generative AI Features may be rate-limited, disabled, or discontinued at any time. Availability is subject to the third-party AI vendor's availability.
  • (h) Your responsibility for outputs. You are solely responsible for any use you make of Generative AI outputs, including any decisions you make, any actions you take, or any content you publish based on them. Your indemnification obligation in Section 15 applies fully to your use of Generative AI Features and their outputs.
  • (i) Disclaimer and liability. The warranty disclaimer in Section 13 and the limitation of liability in Section 14 apply in full to Generative AI Features.
  • (j) Output ownership. As between you and SCALE ZONE LTD, and subject to your compliance with these Terms and applicable law, you own the outputs you generate through Generative AI Features to the extent permitted by law. SCALE ZONE LTD makes no representation that outputs are original, non- infringing, or free of third-party rights, and you are solely responsible for evaluating outputs before any use or publication.
  • (k) Non-uniqueness of outputs. Due to the nature of generative models, outputs may be similar or identical to outputs produced for other users submitting similar inputs. SCALE ZONE LTD does not guarantee that any output will be unique to you, and you will not have any exclusivity rights in the outputs.

Our processing of personal information in connection with Generative AI Features is also governed by Section 17 of our Privacy Policy.

10. Assumption of Risk

You access and use the Services at your own risk. You are responsible for providing and maintaining any device, internet connection, or software needed to access the Services, and for any charges you incur in doing so.

11. Third-Party Services & Links

The Services may include links to, or interoperate with, third-party websites, services, or content. Such third-party resources are not owned, operated, or controlled by SCALE ZONE LTD; they are governed by their own terms and privacy notices. SCALE ZONE LTD does not endorse and is not responsible for their content, availability, practices, or any loss or damage caused by your use of them.

12. Service Availability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. SCALE ZONE LTD does not guarantee that the Services will be uninterrupted, secure, error-free, or continuously available, and may modify, suspend, or discontinue any part of the Services at any time without notice.

From time to time we may make beta, alpha, preview, or evaluation features or products available. Such features are provided for evaluation only, without any support, service-level agreement, or warranty of any kind, and may be modified or discontinued at any time.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SCALE ZONE LTD DOES NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED, THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES OR ANY SERVERS HOSTING THEM ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALE ZONE LTD, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SCALE ZONE LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALE ZONE LTD'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SCALE ZONE LTD IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY AND (B) ONE HUNDRED U.S. DOLLARS (US$100). IF AND TO THE EXTENT THAT THIS CAP IS HELD UNENFORCEABLE BY A COURT OF COMPETENT JURISDICTION, THE PARTIES AGREE THAT SCALE ZONE LTD'S AGGREGATE LIABILITY SHALL INSTEAD BE LIMITED TO ONE THOUSAND U.S. DOLLARS (US$1,000); AND IF THAT ALTERNATE CAP IS ALSO HELD UNENFORCEABLE, SCALE ZONE LTD'S AGGREGATE LIABILITY SHALL BE LIMITED TO THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW. EACH LIMITATION IN THIS SECTION IS SEVERABLE; THE INVALIDITY OR UNENFORCEABILITY OF ANY ONE LIMITATION SHALL NOT AFFECT THE ENFORCEABILITY OF THE OTHERS.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the limitations in this Section may not apply to you in full. In those jurisdictions, SCALE ZONE LTD's liability is limited to the maximum extent permitted by applicable law.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. SOME JURISDICTIONS DO NOT ALLOW SUCH LIMITATIONS, SO THIS LIMITATION MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless SCALE ZONE LTD, our Affiliates, and our respective officers, directors, employees, agents, and licensors from and against any claim, demand, suit, proceeding, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content or your inputs to any Generative AI Feature; (c) your breach of these Terms; or (d) your violation of any applicable law or any third-party right.

16. Release

You release SCALE ZONE LTD, our Affiliates, and our respective officers, directors, employees, agents, and licensors from any claim or liability relating to any dispute between you and any other user, visitor, client, or third party arising out of or in connection with the Services.

17. Electronic Communications Consent

By using the Services you consent to receive electronic communications from SCALE ZONE LTD (for example, email responses to your inquiries and legally required notices). You agree that any such electronic communications satisfy any legal requirement that communications be in writing.

18. Affiliates & Related Products

These Terms apply to the Services — including the Site and any products, services, or properties operated by SCALE ZONE LTD or our Affiliates. An Affiliate's product or service may be provided under additional or service-specific terms; where those additional terms apply, the more specific or more restrictive terms govern for that product or service. SCALE ZONE LTD remains responsible for the performance of these Terms regardless of whether a particular Affiliate acts on our behalf.

SCALE ZONE LTD reserves the right to publish, distribute, and digitally sign software, applications, and other digital products under its own name, under Affiliate brand names, or under digital-publisher or code-signing identities belonging to SCALE ZONE LTD or its Affiliates. Such products may be made available under these Terms or under additional product-specific terms; where additional terms apply, the more specific terms govern for that product.

19. Modification of the Services

SCALE ZONE LTD may modify, suspend, add to, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

20. Termination

SCALE ZONE LTD may terminate or suspend your access to the Services at any time, for any reason, with or without notice, including if we reasonably believe you have breached these Terms. All provisions of these Terms that by their nature should survive termination — including Sections 6, 7, 8, 9, 13, 14, 15, 16, 18, 21, 22, and 23 — will survive.

21. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them or your use of the Services are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. The courts located in [Jurisdiction] will have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue in those courts.

Class-action and jury-trial waiver. To the maximum extent permitted by applicable law, you and SCALE ZONE LTD each waive any right to a jury trial and any right to bring or participate in a class, collective, or representative action.

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property, confidentiality, or other proprietary rights.

22. Force Majeure

SCALE ZONE LTD will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, pandemic or public-health event, labor disputes, supplier or service-provider failures, failures of the internet or public telecommunications networks, power failures, or governmental or regulatory action.

23. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SCALE ZONE LTD regarding the Services and supersede all prior or contemporaneous agreements on the subject.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force.
  • No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that or any other provision.
  • Assignment. You may not assign or transfer these Terms or any rights under them without SCALE ZONE LTD's prior written consent. We may assign these Terms to any Affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.
  • No Agency. These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship.
  • No Third-Party Beneficiaries. Except where expressly stated, these Terms are for the sole benefit of the parties and do not create any rights in any third party.
  • Notices. Notices to SCALE ZONE LTD must be sent to support@scale-zone.com. Notices to you may be sent to the email address associated with your submission or posted on the Site.
  • Headings. Section headings are for convenience only and do not affect interpretation.
  • Contact details. SCALE ZONE LTD, registered office [Registered Office Address].

24. Changes to These Terms

SCALE ZONE LTD may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes we will provide a more prominent notice where required by applicable law. Your continued use of the Services after the effective date of any revision indicates your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Services.
